ZEN MATH TERMS AND CONDITIONS
Effective Date: September 1, 2026
These Terms and Conditions (“Terms”) apply to purchases of tutoring services, tutoring packages, group programs, digital products, memberships, courses, educational resources and other services offered by Zen Math Tutors, operating as Zen Math (“Zen Math,” “we,” “us” or “our”).
By purchasing a product or service, creating an account, accessing digital materials, or accepting these Terms during checkout, the purchaser (“Purchaser”) agrees to these Terms.
Where a Purchaser purchases a product or service for a child or other student, the person receiving the educational services is referred to as the “Student.” The Purchaser confirms that they are legally authorized to purchase services for the Student and, where applicable, to provide consent on the Student's behalf.
The Agreement
These Terms, together with the applicable sales page, checkout page, invoice, order form or order confirmation (“Order”), form the agreement between the Purchaser and Zen Math.
The Order will identify the specific product or service purchased and may include information such as:
the purchase price;
the number of tutoring hours or sessions included;
the billing schedule;
the program dates;
the digital-access period;
the grade or course selected; and
any product-specific restrictions or conditions.
If there is a conflict between these Terms and an Order, the more specific terms contained in the Order will govern with respect to that purchase, subject always to applicable law.
Products and Services
These Terms may apply to one or more of the following:
Tutoring Services: One-to-one or small-group instruction delivered online or through another method specified by Zen Math.
Tutoring Packages: A prepaid allocation of tutoring hours or sessions.
Group Programs: Programs containing scheduled group instruction, coaching, workshops, orientation sessions or other live components.
Digital Products: Online courses, training vaults, videos, recordings, workbooks, PDFs, practice materials, templates, downloads, digital resources or other electronically delivered educational content.
Memberships or Subscriptions: Products or services for which recurring payments are expressly identified at the time of purchase.
Hybrid Programs: Programs containing both digital materials and live tutoring, coaching or group instruction.
Educational Services
Zen Math provides educational support and instruction. Services may include reviewing curriculum concepts, teaching mathematical skills and strategies, assisting with homework and assignments, preparing for assessments and examinations, developing study skills and providing educational resources.
Zen Math does not guarantee any particular grade, test result, course result, admission outcome or academic achievement. Results depend on many factors outside Zen Math's control, including attendance, participation, practice, school instruction and the Student's individual circumstances.
Tutors and Tutor Assignment
Zen Math may assign or reassign tutors based on Student needs, tutor availability, scheduling, subject expertise and other operational considerations.
The purchase of tutoring services or a tutoring package does not guarantee access to a particular tutor, day or time unless Zen Math has expressly confirmed otherwise in writing.
Zen Math will make reasonable efforts to provide an appropriate qualified tutor and to maintain continuity where possible.
Tutoring Packages and Package Hours
Where a Purchaser buys a tutoring package, the number of included hours or sessions will be stated in the applicable Order.
Unless expressly stated otherwise:
A tutoring hour means 60 minutes. Where sessions are shorter or longer than 60 minutes, the applicable amount of time will be deducted from the remaining package balance.
Package hours are for the Student identified in the Order and may not be sold, transferred or assigned to another person without Zen Math's approval.
Any validity period or use-by date applicable to a tutoring package will be clearly identified in the applicable Order. If no validity period is identified at the time of purchase, no additional expiry period will be imposed solely through these Terms.
Purchasing a package reserves a quantity of tutoring time but does not reserve a particular recurring appointment unless a schedule has separately been confirmed.
Scheduling, Cancellations and Missed Tutoring Sessions
A minimum of 24 hours' notice is required to cancel or reschedule an individual tutoring session.
Where less than 24 hours' notice is provided, or where a Student does not attend a scheduled session, Zen Math may deduct the full scheduled session time from the Purchaser's tutoring package or charge for the scheduled session.
Where a Student arrives late, the session will normally end at the originally scheduled time and the full scheduled session time may be deducted.
Zen Math may, at its discretion, waive a late-cancellation charge in exceptional circumstances. A previous waiver does not create an obligation to waive future charges.
If Zen Math or the assigned tutor cancels a session, the cancelled time will not be deducted from the tutoring package. Zen Math will make reasonable efforts to reschedule the session or provide an appropriate credit.
Group Programs and Scheduled Classes
Group-program dates and times are established in advance.
A Student's absence from a scheduled group session does not ordinarily entitle the Purchaser to a refund, credit, private replacement session or reduction in program fees.
Where recordings, replacement sessions or make-up opportunities are offered, they are provided according to the conditions of the particular program and are not guaranteed unless specifically included in the Order.
Zen Math may make reasonable changes to instructors, schedules, lesson order or delivery methods where necessary to operate a program.
Digital Products and Online Access
Digital Products are licensed, not sold, to the Purchaser for personal educational use.
Unless an Order expressly states otherwise, access is intended only for the Purchaser and/or the Student for whom the product was purchased.
Login credentials may not be shared outside the permitted user or household. Digital content may not be copied, reproduced, uploaded, published, distributed, resold, sublicensed, shared publicly, used to create competing educational materials or made available to third parties.
Zen Math may suspend or terminate access where it reasonably believes account credentials or protected materials are being improperly shared or used.
The access period for a Digital Product will be the period described on the applicable sales page or Order.
Zen Math may update, reorganize or improve Digital Products over time. Zen Math may also change the technology platform used to deliver a Digital Product provided that, during a paid access period, commercially reasonable efforts are made to provide substantially equivalent access to the purchased material.
Technology Requirements
Online tutoring and Digital Products require suitable technology, including a reliable Internet connection and compatible device, browser, software and/or applications.
The Purchaser is responsible for maintaining the technology needed to access the purchased services.
Zen Math is not responsible for interruptions caused by a Purchaser's or Student's Internet connection, device, software or third-party services outside Zen Math's reasonable control.
Where a significant technology problem attributable to Zen Math prevents a paid live tutoring session from being delivered, Zen Math will make reasonable efforts to reschedule or credit the affected time.
Prices and Payment
The applicable purchase price and payment terms will be shown before purchase.
Unless otherwise indicated, amounts are expressed in Canadian dollars. Applicable taxes will be charged where required.
Payment may be collected by Zen Math or through a third-party payment processor.
Any credit-card surcharge, if used, will be separately and clearly disclosed before the Purchaser authorizes the transaction and will be subject to applicable law, payment-processor rules and payment-card-network requirements.
For invoices that are not paid at the time of purchase, Zen Math may apply any late-payment charge that was clearly disclosed in the applicable Order or invoice before the payment obligation arose.
Payment Plans
Where Zen Math allows the Purchaser to pay for a fixed-price product or program through installments, the installment arrangement is a payment schedule for that purchase and does not automatically convert the purchase into a month-to-month subscription.
Unless the applicable Order expressly describes the purchase as cancellable or recurring, stopping participation does not automatically cancel outstanding installments owed for a fixed-price product or program.
Recurring Memberships and Subscriptions
Where an Order expressly identifies a product as a recurring membership or subscription, the applicable recurring amount and billing frequency will be disclosed before purchase.
The Purchaser may cancel future renewals in accordance with the cancellation instructions provided for that membership.
Cancellation stops future renewals but does not ordinarily create a prorated refund for an already-started billing period unless required by law or expressly stated in the applicable Order.
Refunds - Digital Products
Because Digital Products may provide immediate access to proprietary educational materials, Digital Product purchases are non-refundable once access has been provided, except where required by applicable law or where the applicable Order expressly provides a refund or money-back guarantee.
Failure to access, download or complete a Digital Product does not by itself create a right to a refund after access has been provided.
Nothing in this section limits any cancellation or refund right that cannot legally be excluded.
Refunds - Tutoring Packages and Live Services
Unless the applicable Order expressly states otherwise, tutoring packages and other prepaid live-service purchases are non-refundable after purchase, except where required by applicable law or where Zen Math is unable to reasonably provide the purchased services.
Sessions already provided, missed sessions properly charged under the cancellation policy and other services already rendered are not refundable.
Where Zen Math agrees or is legally required to issue a refund for unused tutoring services, the refund will apply only to the eligible unused portion of the package.
Nothing in this section limits rights or remedies available to consumers under applicable consumer-protection legislation.
Promotional Offers, Bonuses and Discounts
Promotional pricing, bonus sessions, complimentary resources and special offers may have eligibility requirements, redemption periods or other restrictions.
Any material restrictions will be identified with the offer.
Promotional or complimentary components have no separate cash value and, unless required by law, cannot be exchanged for cash.
Intellectual Property
All Zen Math materials, including videos, recordings, lessons, workbooks, worksheets, PDFs, templates, assessments, practice tests, graphics, systems, methodologies, course structures, website content and other educational resources are owned by or licensed to Zen Math and are protected by applicable intellectual-property laws.
Purchasing a Zen Math product gives the Purchaser a limited, personal, non-exclusive, non-transferable and revocable licence to use the purchased materials for the Student's personal educational purposes.
Purchase does not transfer ownership of the intellectual property.
Without Zen Math's prior written permission, the Purchaser and Student may not reproduce, distribute, sell, share, publish, publicly display, upload, modify for commercial use, create derivative commercial products from, or provide Zen Math materials to another tutoring company, tutor, teacher, organization or online platform.
Student Conduct
Students are expected to behave respectfully toward Zen Math tutors, staff and other students.
Zen Math may suspend or terminate participation in cases of serious or repeated inappropriate behaviour, harassment, threats, abuse, academic misconduct, unlawful activity or misuse of Zen Math systems or materials.
Where reasonably possible, Zen Math will communicate concerns with the Purchaser before terminating ongoing services.
Parent/Purchaser Responsibility
Where the Student is a minor, the Purchaser is responsible for communicating relevant scheduling and service information to the Student and for ensuring the Student is reasonably prepared to participate.
The Purchaser remains responsible for payment obligations even where the Student is the primary person participating in the services.
Parent/Purchaser Responsibility
Zen Math collects and uses personal information for purposes reasonably connected with providing, administering and improving its educational services.
Personal information will be handled in accordance with applicable privacy laws and Zen Math's Privacy Policy, available at zenmath.ca/legals.
Zen Math may send service-related emails, texts or other communications necessary to administer a purchase, including scheduling information, account-access information, receipts, program updates and service notices.
Consent to receive promotional or marketing communications is separate from acceptance of these Terms. Where required, marketing consent will be obtained separately, and recipients may unsubscribe from marketing communications without losing access to products or services they have purchased.
Confidentiality and Student Information
Zen Math will take reasonable steps to protect confidential and personal information provided in connection with tutoring services.
Information may be disclosed where required by law, where reasonably necessary to protect a person from an immediate safety risk, where the Purchaser has consented to disclosure, or where disclosure is reasonably necessary to operate the service using Zen Math's employees, contractors or technology providers subject to appropriate privacy obligations.
Tutoring communications are not subject to legal professional privilege.
Recordings
A Purchaser or Student may not record, reproduce or distribute tutoring sessions, group classes or other live Zen Math sessions without prior permission.
Where Zen Math records a session or program, applicable notice and consent requirements will be followed. Any recording provided to participants remains subject to the intellectual-property restrictions contained in these Terms.
Educational Disclaimer
Zen Math provides educational instruction and support. Zen Math does not guarantee that participation in any program, tutoring service or Digital Product will result in a specific grade, academic outcome, admission decision, test result or level of improvement.
Educational strategies and recommendations should be considered alongside the Student's school requirements, teacher instructions and individual learning circumstances.
Service Changes and Availability
Zen Math may make reasonable changes to tutors, instructors, technology platforms, scheduling systems, lesson sequencing or administrative processes.
If Zen Math permanently discontinues a paid service before providing a material portion of what was purchased, Zen Math will provide an appropriate replacement, credit or refund where required by law or reasonably appropriate in the circumstances.
Limitation of Liability
To the fullest extent permitted by law, Zen Math will not be liable for indirect, incidental, special or consequential losses arising from the use of its educational services or materials.
Where liability cannot lawfully be excluded, Zen Math's liability will be limited only to the extent permitted by applicable law.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limits any statutory consumer right or remedy.
Termination or Suspension
Zen Math may suspend or terminate access to services where a Purchaser or Student materially breaches these Terms, including non-payment, misuse or unauthorized distribution of Zen Math materials, inappropriate conduct or improper account sharing.
Termination for breach does not automatically entitle the Purchaser to a refund for services already delivered or Digital Products already accessed, subject to applicable law.
Consumer Rights
These Terms are intended to operate together with applicable consumer-protection legislation.
Nothing in these Terms is intended to waive, restrict or exclude any right or remedy that cannot legally be waived, restricted or excluded.
If any provision of these Terms conflicts with a mandatory requirement of applicable law, that legal requirement will prevail.
Governing Law
These Terms and purchases from Zen Math are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.
Subject to any consumer right that provides otherwise, disputes will be determined in the courts of Ontario.
Resolving Concerns
If a Purchaser has a concern regarding a purchase or service, the Purchaser is encouraged to contact Zen Math so that the parties can attempt to resolve the matter in good faith.

Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
No Waiver
Zen Math's failure to enforce a provision of these Terms on one occasion does not waive its right to enforce that provision in the future.
Changes to These Terms
Zen Math may update these Terms from time to time.
Changes will apply to future purchases from the effective date of the updated Terms. Zen Math will not use an updated version of these Terms to materially reduce rights already purchased under an existing Order except where required by law or agreed to by the Purchaser.
Entire Agreement
These Terms together with the applicable Order constitute the agreement between Zen Math and the Purchaser relating to the applicable purchase and replace prior representations concerning that purchase, except for representations or consumer rights that cannot legally be excluded.
